CROWDFUNDING DOWN PAYMENT ASSISTANCE PROGRAM AGREEMENT
1. Preapproval Process:
The Agreement governs the terms, obligations, and provisions of the Crowdfunding Down Payment Assistance Program (“Program”), under the following stipulations:
- Program Scope and Limitations
The Program, as structured and executed by PlusMoreUsa, is devised with the overarching intent to assist no more than 36 qualifying families over the course of a 12-month period, contingent upon, but not limited to, the prevailing market conditions, lender approval processes, and other externalities beyond the control of PlusMoreUsa. While the Program’s design anticipates the successful completion of home purchase transactions within the aforementioned 12-month window, it is expressly acknowledged that unforeseeable delays, procedural impediments, or circumstances outside the reasonable expectations of the Program administrators may necessitate the extension of this timeline. Such delays may be attributed to, but are not limited to, variations in lender responsiveness, third-party approval processes, regulatory hurdles, or Member-specific issues arising during the home-buying process. As such, Members expressly acknowledge that PlusMoreUsa, while making every reasonable effort to adhere to the projected timeframe, cannot and does not guarantee the completion of the Program or the acquisition of a home within 12 months. Any additional time required shall not be grounds for termination of participation or demand for refund, except as provided in Section 5 of this Agreement.
- Nonrefundable Deposit and Program Fee
Each Member acknowledges the requirement to provide a non-interest-bearing deposit of $5,000, which constitutes a non-refundable Program participation fee, except where explicitly stated otherwise in Section 5. The deposit, herein described as a “fee,” represents an administrative expense, which under no circumstances, other than those described in Section 5, shall be recoverable by the Member.
- Allocation of Funds and Disbursement
Subject to lender preapproval and conditional on the Member meeting all Program-related criteria, PlusMoreUsa shall provisionally authorize the disbursement of funds ranging from $25,000 to $40,000 to be utilized exclusively for the Member’s down payment or closing costs. Said funds shall be made available no later than 7 days before the scheduled closing date, contingent upon the satisfactory completion of all required procedural documentation. The timing and provision of funds shall be at the sole discretion of PlusMoreUsa, which reserves the right to withhold, delay, or adjust the disbursement by internal policies, market conditions, or lender specifications.
Reimbursement of Allocated Funds for Future Participants
Within a period not exceeding 90 days following the closing of the home purchase, the Member shall, subject to the availability of funds, receive supplemental disbursements designated for home improvements. The Member is hereby legally bound to remit repayment of the original down payment assistance amount received under this Program to ensure the continued operation and financial integrity of the Program for future participants. The failure of the Member to remit the repayment within the specified timeframe will result in the imposition of penalties, which may include, but are not limited to, the initiation of financial recovery measures, including legal proceedings aimed at recouping the outstanding amounts. Additionally, in the event that the Member declines or otherwise refuses the disbursement of home improvement funds, PlusMoreUsa reserves the right to place a lien against the subject property. This lien shall remain in effect until such time as the obligations under this Agreement have been satisfied in full, including the repayment of all assistance funds initially provided. All actions taken under this clause will be executed in accordance with applicable legal frameworks and without further recourse to the Member.
- Conditional Refund Provisions
The $5,000 deposit shall be refundable solely under the following exclusive conditions:
- PlusMoreUsa, through no fault or deficiency of the Member, fails to secure financial assistance for the Member’s home purchase, at which point the deposit shall be returned to the Member. The return of funds shall be subject to administrative processing times and is not guaranteed to occur within any specified period.
The deposit is unequivocally non-refundable under the following circumstances:
- The Member elects not to proceed with the purchase of a home based on personal preference or inability to locate a suitable property.
- The Member is unable to maintain the initial preapproval due to negligence in managing their credit, including but not limited to missed payments, accumulation of new debt, or actions that negatively impact their creditworthiness.
- The Member voluntarily or involuntarily withdraws from the Program at any time following the execution of this Agreement.
- Voluntary Withdrawal and No-Refund Policy
Members who, for any reason, voluntarily withdraw from the Program forfeit any and all rights to recover the initial $5,000 deposit. No exceptions or exemptions will be made, and the forfeiture shall be deemed final and non-contestable in any forum or jurisdiction.
- Program Termination for Non-Compliance
PlusMoreUsa reserves the unilateral right to terminate a Member’s participation in the Program for non-compliance with the terms and provisions set forth in this Agreement, including, but not limited to, the failure to provide accurate financial documentation, misrepresentation of information, or failure to return funds allocated under the Program. Termination shall be at the sole discretion of PlusMoreUsa and shall not entitle the Member to any reimbursement or compensation.
- Binding Nature of Agreement
This Agreement is irrevocably binding upon the execution thereof and is not subject to modification or cancellation, except as explicitly outlined herein. Any disputes arising from or relating to this Agreement shall be resolved by binding arbitration, governed by the rules of the American Arbitration Association, conducted within the State of Florida.
- Governing Law and Jurisdiction
This Agreement, and the rights and obligations of the parties herein, shall be construed and governed by the laws of the State of Florida, without regard to its conflict of law principles. Any action or proceeding related to this Agreement shall be exclusively brought in the courts of the State of Florida.
GOVERNING LAW AND JURISDICTION
These Terms and Conditions, along with any disputes arising from or related to the use of PlusMoreUsa’s services, will be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any legal proceedings or arbitration related to these Terms shall be conducted within the jurisdiction of Florida.
ENTIRE AGREEMENT
These Terms and Conditions, along with our Privacy Policy and any other agreements incorporated herein by reference, constitute the entire agreement between you and PlusMoreUsa regarding the use of our services. They supersede all prior agreements, whether written or oral, regarding the subject matter.
WAIVER AND SEVERABILITY
Failure by PlusMoreUsa to enforce any provision of these Terms shall not be construed as a waiver of any right or provision. If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
